Terms of Service.

1. The service

12icon ("Service") is an AI-powered icon generation platform operated from Uruguay. These Terms of Service ("Terms") govern your access to and use of 12icon.com and all related services. By creating an account you agree to be bound by these Terms.

2. Accounts

• You must be at least 13 years old to create an account.
• You are responsible for keeping your credentials secure and for all activity under your account.
• You must provide accurate information when registering.
• One person or legal entity may not maintain more than one free account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscriptions and billing

Paid plans are billed through Paddle.com Market Limited, our Merchant of Record. When you subscribe, you are entering into a purchase agreement with Paddle, not directly with 12icon. All payment disputes, refund requests, and invoicing questions should be directed to Paddle support or to contact@12icon.com.

• Billing cycle: subscriptions renew monthly or annually on the same calendar day they were started.
• Proration: when you upgrade mid-cycle, the price difference is prorated and charged immediately. Downgrades take effect at the next renewal.
• Cancellation: you can cancel at any time from Settings → Subscription. Your plan remains active until the end of the current billing period — no partial refunds are issued.
• Price changes: we will give you at least 30 days' notice before changing subscription prices.
• Taxes: Paddle is responsible for calculating and remitting applicable taxes (VAT, GST, sales tax) as Merchant of Record. The price shown at checkout is the final price inclusive of applicable taxes.

4. Free credits and trial tier

New accounts receive a one-time allocation of free generation credits. Free credits expire 90 days after account creation, do not roll over, and cannot be transferred. We reserve the right to change the number of free credits available to new users at any time.

5. Acceptable use

You agree not to use 12icon to:

• Generate content that is illegal, defamatory, discriminatory, or infringing on third-party rights.
• Attempt to circumvent rate limits, credit systems, or access controls.
• Reverse-engineer, scrape, or harvest the service or its outputs at scale through automated means without written permission.
• Impersonate another person or entity.
• Resell or sublicense access to the generation infrastructure itself (reselling finished icon assets is permitted on paid plans — see the License).
• Use the service in any way that could damage, overload, or impair our infrastructure.

6. Intellectual property and ownership of outputs

The 12icon platform, including its UI, branding, and underlying code, is owned by 12icon and protected by applicable intellectual property laws.

Your text prompts remain yours. The generated icons are subject to the terms of our Icon License. In summary: paid plan subscribers receive a commercial license; free-tier users receive a personal-use-only license.

By submitting prompts you grant us a limited, non-exclusive license to process them through our AI pipeline solely for the purpose of generating your icons and improving service reliability. We do not use your prompts to train third-party models.

7. Availability and modifications

We aim for high availability but do not guarantee uninterrupted access to the service. We may perform maintenance, update features, or temporarily suspend the service with or without notice. We reserve the right to modify or discontinue any feature at any time.

If we discontinue the service entirely, we will provide at least 30 days' notice and a prorated refund for any unused subscription period.

8. Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that generated icons will be free of third-party intellectual property claims; it is your responsibility to review outputs before commercial use.

9. Limitation of liability

To the maximum extent permitted by applicable law, 12icon's total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the amount you paid to 12icon (via Paddle) in the three months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages.

10. Governing law and disputes

These Terms are governed by the laws of the Oriental Republic of Uruguay. Any disputes shall be submitted to the competent courts of Montevideo, Uruguay, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
